Terms of Service

These terms are the agreement between you and us for using the Mementa app and the mementa.page website (together, the "Service"). By downloading, installing, or using Mementa, or by placing a print order through it, you agree to these terms. If you don't agree, don't use the Service.
Who we are
Mementa is made and operated by Ian Issitt, doing business as ICI ("we," "us," "ICI"). We're a sole proprietorship, not yet an incorporated company. You can reach us at info@mementa.page or 914-440-0550.
The license to use the app
Mementa is currently offered to you free of charge. We grant you a personal, non-exclusive, non-transferable, revocable license to install and use the app on your own devices, for your own use. You may not resell, sublicense, reverse engineer, or redistribute the app, or remove or obscure any branding in it.
We may introduce a paid license or subscription for some or all of Mementa's features in the future. If we do, we'll tell you before it affects you, and this section will be updated to describe it.
Your content stays yours
You own everything you create in Mementa: your notebooks, drawings, text, layers, Sticker Book, and anything else you make or import. We claim no ownership or license over it, and, as described in our Privacy Policy, it stays on your device and isn't uploaded to us in the ordinary course of using the app. The only content that ever leaves your device is what you actively choose to send us: the files needed to fulfill a print order, or anything you add to a crash report.
Printed book orders
Mementa lets you order a physical, printed copy of a notebook through our print-on-demand partner, Lulu, with payment handled by Stripe or PayPal. When you place an order:
- The price shown at checkout, including any shipping and tax, is calculated at the time you order and is what you're charged. It is not a guaranteed quote for any other time.
- Your order is placed, and a contract for that book is formed, once your payment is successfully captured, not when you click "order."
- Production and shipping timelines shown in the app are estimates from our print partner, not guarantees. We're not responsible for carrier delays once a package ships.
- You're responsible for entering an accurate shipping address. We can't redirect a package once it's handed to the carrier, and re-shipping a returned or misdelivered order due to an incorrect address may cost extra.
Refunds and returns
If your book arrives damaged, defective, or misprinted, contact us at info@mementa.page with a photo of the problem and we'll arrange a reprint or a full refund, whichever you'd prefer.
If you're simply not happy with a book for any other reason, you can request a refund within 14 days of delivery. Email us and we'll process it; we may ask you to send the book back or provide a photo first. Refunds are issued to your original payment method. Outside that window, printed orders are final, since each book is manufactured specifically for you and can't be resold.
Acceptable use
You agree not to use the Service to:
- Submit content for printing that is illegal, infringes someone else's copyright or trademark, or that you don't have the right to reproduce;
- Attempt to disrupt, overload, or gain unauthorized access to our backend, our print or payment partners' systems, or other users' orders;
- Reverse engineer, decompile, or tamper with the app beyond what's permitted by law.
We may refuse or cancel an order, or restrict access to the Service, for conduct that violates this section.
Intellectual property
The Mementa name, logo, and the app's software, design, and branding are owned by ICI. Nothing in these terms transfers any of that to you beyond the limited license above.
Third-party services
Parts of the Service are provided through other companies: Stripe and PayPal (payment), Lulu (printing and fulfillment), Cloudflare (file storage), Netlify (hosting and backend), Brevo (email delivery), Zippopotam.us (address lookup), and the Microsoft Store (app distribution, if that's how you installed Mementa). Each has its own terms and privacy practices, which apply to their part of the transaction. We aren't responsible for how they operate, though we choose partners we trust.
No warranty
The Service is provided "as is," without warranties of any kind, express or implied. We don't guarantee the app will be uninterrupted, error-free, or fit for a particular purpose. Mementa is actively developed software and may contain bugs; that's part of why we built in-app crash reporting, described in our Privacy Policy.
Limitation of liability
To the fullest extent the law allows, we won't be liable for any indirect, incidental, or consequential damages arising from your use of the Service. Our total liability for any claim relating to the Service or a print order is limited to the amount you paid us in the 12 months before the claim arose, or $50 if you haven't paid us anything.
Resolving disputes
If something's wrong, email info@mementa.page first and give us 30 days to try to fix it before doing anything else. Most issues are resolved that way.
Arbitration agreement. If we can't resolve a dispute informally, you and we agree to resolve it through binding individual arbitration under the American Arbitration Association's Consumer Arbitration Rules, rather than in court, except that either side may bring an individual claim in small claims court. There is no right or authority for any dispute to be brought as a class, consolidated, or representative action. You may opt out of this arbitration agreement within 30 days of first agreeing to these terms by emailing info@mementa.page with your name and a clear statement that you opt out.
Governing law
These terms are governed by the laws of the State of New York, without regard to conflict-of-law rules, except where the arbitration agreement above specifies otherwise.
Children
Mementa is intended for a general audience and is not directed to children under 13, consistent with our Privacy Policy.
Ending the Service
We may suspend or stop offering any part of the Service, including print orders or the backend behind them, at any time. Because Mementa is local by design, the app and any notebooks already on your device will keep working even if we ever shut down our servers; only online features like ordering, crash reporting, and email would stop.
Changes to these terms
We may update these terms as Mementa grows. When we make a meaningful change, we'll revise the "Last updated" date above and, where appropriate, note it on this page.
